WISCONSIN CHAPTER OF N.C.R.S., INC.

 

BY-LAWS

 

 

ARTICLE I

 

These By-Laws are intended to supplement the current By-Laws of the National Corvette Restores Society, Inc. (NCRS).  Items not addressed herein shall be governed by the National NCRS By-Laws.

 

SECTION I- NAME

 

The name of the organization shall be Wisconsin Chapter of N.C.R.S., Inc.

 

SECTION II - PURPOSE

 

The general purpose of the Chapter shall be the preservation, restoration, and enjoyment of all Corvettes, and anything related to Corvettes.  Members are to enjoy as a hobby; the automobile, the NCRS membership, and other Corvette enthusiasts, towards a personal rather than a monetary reward.

 

The Chapter is a 501(c)7 as further described in the NCRS By-Laws.

           

 

ARTICLE II

 

SECTION I- MEMBERSHIP

 

Membership in the Chapter shall be limited to N.C.R.S., Inc. members in good standing and having paid such annual Wisconsin dues as required.

 

SECTION II - DUES

 

Annual Dues shall be payable by January 1st.  Dues structure and amount shall be evaluated yearly by the Board of Directors no later than October 30th.

 

 

 

SECTION Ill - PRIVILEGES

 

Members are entitled to all Chapter Privileges.

 

SECTION IV - RESIGNATION FOR CAUSE

 

Any member may be asked to resign for cause as may be determined by the majority of the Board of Directors as being in the best interest of the Chapter.  Eligibility for rejoining the Chapter shall require a vote by the board of directors.

 

SECTION V - RESIGNATION

 

Any member may resign at any time; however, there shall be no refund of dues paid to the Chapter. Former members may rejoin by meeting the requirements as stated in Article II, Sections 1 & 2.

 

 

ARTICLE Ill

 

SECTION I- ANNUAL MEETING

 

An annual membership meeting shall be held each year for the purpose of electing installing officers.

 

SECTION II - SPECIAL MEETINGS

 

In addition to any provisions of the By-Laws, special meetings of the membership may be called by the Chairman, or by a quorum of the Board of Directors.

 

SECTION Ill - NOTICE OF MEETINGS

 

Notice of special membership meetings, stating the place, day, and hour of meeting of the members shall be given by the Secretary and sent not less than two weeks prior to such meeting to each member.

 

SECTION IV - QUOROM

 

At any a membership meeting,10% of the membership shall constitute a quorum. No motions may be voted without a quorum present.

 

At a Board Meeting a quorum shall be considered a majority of the Board Members present with a minimum of 5 members present.  No quorum will be recognized without the President present.  No motions may be voted without a quorum present.

 

SECTION V - VOTING

 

There shall be one vote per membership. Voting may be conducted by NCRS website voting if agreed upon by a quorum of the Board of Directors. There must be a response by at least 25% of the membership before a NCRS website vote can be considered binding.

 

 

ARTICLE IV

 

SECTION I- BOARD OF DIRECTORS

 

The Board of Directors is defined by the officers and representatives as shown in Section 11.  The Board of Directors shall manage the affairs of the Chapter. 

 

SECTION II - OFFICERS

 

The Chairman, Vice Chairman, Secretary and Treasurer shall be elected by the membership at large in annual elections.  Officer terms shall be two years.  Chairman and Treasurer shall be installed in odd years.  Vice Chairman and Secretary shall be installed in even years.  Members of the Board of Directors shall be appointed by the officers at the meeting immediately following the annual meeting. They shall be: Judging Chairman, Membership Chairman, Newsletter Editor, and Events Chairman. Additional members of the Board of Directors, such as Board Members at Large, may be appointed at the discretion of the Chapter Officers.  The Judging Chairman will not be a person whose primary or major source of income is derived from the restoration and parts of Corvettes.

 

SECTION Ill - VACANCY

 

In the event that any of the officers shall resign or become unable to hold office before the end of his/her elected term, the Board of Directors shall appoint a member to fill the vacancy of said term.

 

ARTICLE V

 

SECTION la. - DUTIES OF THE CHAIRMAN

 

The Chairman shall preside at all meetings of the members and the Board of Directors and shall perform the duties of this office.  He/she may call special meetings of members under the provisions of Article Ill. He/she shall be the chief executive of the Chapter.

 

 

SECTION lb. • APPOINTMENT OF COMMITTEES

 

The Chairman shall appoint such committees as he/she finds desirable from time to time and shall outline the duties and responsibilities of such committees.

 

SECTION II • DUTIES OF THE VICE CHAIRMAN

 

In the absence of the Chairman, resignation or inability to act, the duties usually pertaining to the office shall be performed by the Vice Chairman. He/she will also handle technical coordination and Public Relations.

 

SECTION Ill ·DUTIES OF THE SECRETARY

 

The Secretary shall attend all meetings of the members and Directors and shall record all minutes and votes.  Minutes shall be distributed to the board of directors for approval, and published in the next Chapter newsletter.  He/she shall give all notices of meetings of the members required by Law or these By-Laws and shall perform all duties incident to this office, required by Law of the majority of the Board of Directors. He/she shall have custody of the Chapter records. In the absence of the Secretary from any of the said meetings, a substitute shall be chosen by the presiding officer.

 

SECTION IV • DUTIES OF THE TREASURER

 

The Treasurer shall, subject to such conditions and restrictions as may be made by the Board of Directors, have custody of all monies, debts, and obligations belonging to the Chapter.  He/she shall receive all monies of the Chapter and deposit same in the Chapter account.  Chapter accounts shall be maintained under joint ownership of the Treasurer and Secretary.  He/she shall make all payments of the Chapter debts.  All contracts, checks, drafts, notes or other orders for payment of money shall be signed in the name of the Chapter by the Treasurer.  The Treasurer shall distribute an up to date copy of the check register 3 days prior to any Chapter and Board of Director meetings, and give a report on the financial status of the Chapter at those meetings. No obligation, debt, or other liability shall be incurred by the Treasure r without the specific approval of the Board of Directors.  Upon a change of Treasurer, the club shall perform a review of Chapter Accounts.

 

SECTION V - DUTIES OF THE EDITOR

 

The Editor shall prepare, publish, and distribute the Chapter's newsletter on a quarterly basis. He/she shall keep copies of the past newsletters and publications, and shall assist the Vice Chairman in all aspects of Public relations information about the Chapter.

 

SECTION VI - DUTIES OF THE MEMBERSHIP CHAIRMAN

 

The membership chairman shall keep an up-to-date roll of all Chapter members and be responsible for Chapter Membership Directory. He/she shall coordinate with the Treasurer to collect the Chapter dues.  He/she shall be responsible for distributing membership applications to prospective members and collecting applications for new members. He/she shall work with N.C.R.S. National to verify that Chapter members are in good standing with N.C.R.S., Inc.

 

SECTION VII - DUTIES OF THE JUDGING CHAIRMAN

 

The Judging Chairman shall coordinate the judging of vehicles as per N.C.R.S. Judging Reference Manual.  He/she shall appoint judging teams and a team leader for each class of vehicle being judged. He/She will ensure that any business relationship between judges and cars are addressed. Business dealings are not permitted during judging events.

 

SECTION VIII-SPECIFIC DUTIES.

 

Detailed description of the duties for the above positions shall be maintained by the Board of Directors.

ARTICLE VI

 

SECTION 1- ACTIVITIES

 

The activities of the Chapter shall be in accordance with N.C.R.S. Inc. guidelines and Chapter requirements.

 

 

ARTICLE Vll

 

SECTION I- AMENDMENTS TO THE BY-LAWS

 

The Board of Directors of the Chapter, or any ten active members in good standing, by written proposals submitted to the Secretary, may propose an amendment to the By-Laws.   Upon such proposal being made, a copy thereof shall be included in the notice of the next meeting of members. If two-thirds of the members present and qualified to vote, vote in favor of the proposal at the meeting, the proposed amendment shall thereby be approved and adopted.

 

 

ARTICLE Vlll

 

SECTION I- DISSOLUTION

 

Upon dissolution of the Chapter, disposition of the Chapter's assets shall be determined by the Board of Directors.
